Agreement to Terms

By accessing or using HealthPriceWatch ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

HealthPriceWatch provides automated compliance monitoring for hospital price transparency requirements under 45 CFR 180.50. Our service includes:

• Daily automated scans of machine-readable pricing files
• Compliance violation detection and reporting
• Email alerts for detected issues
• Historical compliance tracking
• Fix instructions and remediation guidance

User Accounts

Account Registration

To use the Service, you must:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Be authorized to bind your hospital or organization
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

Account Responsibility

You are responsible for all activity under your account. You agree not to share your account credentials with others outside your organization.

Subscription and Payment

Fees

The Service is offered on a subscription basis at $499/month per hospital facility. Prices are subject to change with 30 days' notice.

Billing

• Subscriptions renew automatically each month
• Payment is due at the start of each billing period
• All fees are non-refundable except as required by law
• Failed payments may result in service suspension

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

Service Limitations and Disclaimers

No Legal Advice

IMPORTANT: HealthPriceWatch is a monitoring tool, not a legal service. Our reports and recommendations do not constitute legal advice. You should consult with qualified legal counsel for compliance decisions.

Accuracy

While we strive for accuracy, we do not guarantee that our scans will detect all compliance issues or that our penalty calculations are exact. CMS may assess penalties differently based on factors not visible to our automated scans.

Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice when possible.

User Obligations

You agree to:

• Provide accurate URLs for your machine-readable files
• Ensure your pricing files are publicly accessible
• Maintain compliance with all applicable laws and regulations
• Not use the Service for any unlawful purpose
• Not attempt to interfere with or disrupt the Service
• Not reverse engineer or attempt to extract source code

Intellectual Property

The Service and its original content, features, and functionality are owned by HealthPriceWatch and are protected by copyright, trademark, and other laws.

Your compliance data and reports remain your property. We retain the right to use anonymized, aggregated data for service improvement and industry insights.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHPRICEWATCH SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any CMS penalties or fines assessed against your organization
• Any loss of profits, revenue, data, or business opportunities
• Errors or omissions in our compliance reports
• Service interruptions or data loss

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold HealthPriceWatch harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• At our discretion for any other reason

Upon termination, your right to use the Service will cease immediately. You may export your data within 30 days of termination.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of [State], without regard to conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except you may bring claims in small claims court if they qualify.
